Subscription Agreement

1. Overview
This Subscription Agreement ("Agreement") governs your use of Orygent Lab's subscription plans (Starter, Growth, Business, Enterprise). By subscribing, you agree to these terms in addition to our Terms of Service and Privacy Policy.
2. Billing & Payment
Recurring charges: Subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing cycle. All prices are in US Dollars (USD).
Payment method: You authorize Orygent Lab to charge your registered payment method (credit card, debit card, or other accepted method) at the beginning of each billing period.
Annual plans: Annual subscriptions are billed as a single payment for 10 months, granting 12 months of access (17% discount). Annual payments are non-refundable after the 30-day courtesy period.
Price changes: We may adjust pricing with at least 30 days' written notice before your next billing period. You may cancel before the new price takes effect.
3. Free Trial
All plans include a 14-day free trial with full platform access. No credit card is required to start. If you do not subscribe by the end of the trial period, your account will be downgraded to read-only access.
4. Cancellation Policy
Monthly plans: You may cancel at any time through your billing dashboard. Cancellation takes effect at the end of the current billing period. You retain full access until then. There are zero cancellation fees.
Annual plans: You may cancel at any time. Cancellation takes effect at the end of the 12-month term. No partial refunds are issued for remaining months, except within the 30-day courtesy window (see §5).
Enterprise contracts: Enterprise subscriptions are governed by the terms in your individual service agreement. Contact your dedicated Customer Success Manager for cancellation procedures.
5. Refund Policy
14-day trial: No charge is made during the trial period. If cancelled within the trial, no payment is processed.
30-day courtesy refund: Within the first 30 days after your first paid billing period, you may request a full refund. This is a one-time courtesy — subsequent billing periods are non-refundable.
After 30 days: No refunds are issued for past billing periods. Cancellation takes effect at the end of the current period.
AI Ops top-up packs: One-time purchases are non-refundable once operations have been consumed. Unused operations expire at the end of the billing month.
6. Right of Withdrawal (EU/EEA)
Under the EU Consumer Rights Directive (2011/83/EU), consumers have a 14-day right of withdrawal from the date of contract conclusion. However, for digital services that begin before the end of the withdrawal period:
By subscribing and checking the consent box during checkout, you expressly request that the digital service begins immediately, and you acknowledge that you lose your right of withdrawal once the service has been fully provided.
B2B contracts: The right of withdrawal under the Consumer Rights Directive does not apply to business-to-business (B2B) contracts. Orygent Lab is a B2B SaaS platform. If you are subscribing on behalf of a business entity, the right of withdrawal does not apply.
7. Late Payment & Service Pause
No late fees: Orygent Lab does not charge late fees, interest, or penalty charges on overdue payments.
Payment failure sequence:
- Day 0: Payment fails. Email notification sent. Stripe retries automatically.
- Day 3: Second retry by Stripe.
- Day 7: If still unpaid, new kit activations are paused. Active twins continue operating.
- Day 30: If still unpaid, subscription is cancelled. Data is retained for 90 days.
8. Data Retention After Cancellation
Upon cancellation or subscription expiry, your company data is retained in read-only state for 90 days. During this window, you may export your data via the Data Export feature in Settings or via the DSAR API.
After 90 days, all company data is permanently and irreversibly deleted in accordance with GDPR Article 17 (Right to Erasure). Audit logs are retained as required by applicable law.
9. Plan Changes & Upgrades
Upgrades: Take effect immediately. You are charged the prorated difference for the remainder of the current billing period.
Downgrades: Take effect at the start of the next billing period. If your current usage exceeds the lower plan's limits, you must reduce usage before the downgrade takes effect.
10. Governing Law
This Agreement is governed by the laws of the Republic of Turkey for Turkish customers (KVKK), and by the laws of the European Union (GDPR) for EU/EEA customers. For all other jurisdictions, the laws of the Republic of Turkey shall apply.
